Welcome to “ADIN” (Automated Deal Investing Network), our AI-powered deal analysis engine (the “Service”). Please read these Terms of Service (“Terms”) carefully. By accessing or using ADIN, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

1. Acceptance of Terms

These Terms constitute a legal agreement between you (“you” or the “user”) and the operator of ADIN, Tribute Labs Services LLC (“we,” “us,” or “our”), by which you agree to be bound. By using or accessing ADIN, you acknowledge that you have read, understood, and agreed to these Terms, as well as our Privacy Policy, the terms and conditions of which are hereby incorporated by reference and made a part of these Terms. These Terms apply to all users, visitors and others who otherwise access or use the Service.

2. Service Description

ADIN provides AI-powered analysis and insights related to venture deals and investment opportunities.

  • Informational Use Only: ADIN's outputs are for informational purposes and do not constitute financial, investment, legal, or tax advice. You should consult qualified professionals before making any financial or legal decisions.
  • Not an Investment Adviser or Broker: We do not serve as a Registered Investment Adviser, Broker-Dealer, or other regulated advisor under any securities or investment laws or regulations anywhere in the world.
  • User's Due Diligence: You are solely responsible for evaluating the reliability, accuracy, and risks associated with using ADIN's outputs.

3. Right to Modify These Terms

We reserve the right to change or update these Terms from time to time at our discretion. If we make material changes, we will notify you by posting the revised Terms on the Service or by other reasonable methods (e.g., email). Your continued use of ADIN after such updates constitutes your binding agreement and acceptance of the modified or updated Terms, and it is your responsibility to review them.

4. User Representations

By using ADIN, you represent and warrant that:

  • You are at least 18 years old (or the age of majority in your jurisdiction).
  • You have the full legal authority and capacity to enter into these Terms and use or access ADIN.
  • You will not use ADIN for any unlawful, unauthorized, deceptive, fraudulent, malicious, or misrepresentative purposes.
  • Any information you provide to us (if applicable) is accurate, current, and complete.

5. Anti-Fraud and Regulatory Compliance

  • No Unlawful Conduct: You agree not to use ADIN in any way that violates any law, rule, or regulation, including securities laws and anti-fraud statutes, anywhere in the world.
  • Cooperation with Authorities: We reserve the right to cooperate with law enforcement or regulatory bodies if we suspect any fraudulent or illegal activities in relation to your use of ADIN.
  • Prohibited Transactions: You shall not attempt to use ADIN to further or conceal any transaction that violates money laundering, terrorist financing, or other prohibitions under applicable law or regulation.
  • Global Compliance Responsibility: Users outside the United States are responsible for compliance with local laws and regulations governing the use of AI tools and investment-related services.

6. License & Use of Service

  • Limited License: We grant you a non-exclusive, non-transferable, revocable license to access and use ADIN for your internal, lawful purposes, subject to these Terms.
  • Restrictions: You agree not to:
    1. Reverse engineer, disassemble, or create derivative works of ADIN;
    2. Circumvent security or authentication measures;
    3. Input harmful code; or
    4. Resell or distribute the Service or its outputs without our prior written permission.
  • Termination or Suspension of Access: We reserve the right to terminate or suspend access to ADIN for violations of these Terms or for any reason or no reason.

7. User Responsibilities

  • Accurate Information: You must provide accurate information when using ADIN.
  • Compliance with Laws: You agree to use ADIN in compliance with all applicable laws and regulations.
  • No Harmful Use: You will not use ADIN for any illegal, harmful, or unethical purposes, including but not limited to fraud, deception, or market manipulation.
  • Informational Use Only: ADIN's outputs are for informational purposes and do not constitute financial, investment, legal, or tax advice. You should consult qualified professionals before making any investment decisions.
  • No Reliance: You acknowledge that AI-powered analysis has inherent limitations and may not account for all factors in the real world.
  • User's Due Diligence: You are solely responsible for evaluating the reliability, accuracy, and risks associated with using ADIN's outputs.

8. Disclaimers (“AS-IS”)

  • Informational Only: ADIN's AI analysis is based on algorithms, data, and your input; we do not guarantee accuracy, completeness, or timeliness of outputs.
  • No Warranties: ADIN is provided “AS IS” and “AS AVAILABLE”, without warranties of any kind, either express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement.
  • No Guarantee of Availability: We do not warrant that ADIN will be uninterrupted, error-free, or free of viruses or other harmful components.
  • Third-Parties: ADIN may incorporate or rely on third-party data or tools, for which we disclaim all liability related to their accuracy, availability, or performance.

9. Limitation of Liability

  • No Indirect Damages: To the fullest extent allowed by law, we will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from or related to your use of ADIN.
  • Liability Cap: In no event shall our total liability exceed the amounts (if any) paid by you for use of ADIN in the three (3) months preceding the event giving rise to the claim.
  • Application of Limitations: Some jurisdictions do not allow limitations on certain damages or disclaimers. In such cases, the above limitations may not fully apply to you and are modified to the minimum extent permissible by law.

10. Indemnification

  • You agree to indemnify, defend, and hold harmless Tribute Labs Services LLC, its affiliates, officers, employees, and agents from any claims, damages, losses, liabilities, or expenses (including reasonable attorneys' fees) arising out of or related to:
    1. Your violation of these Terms;
    2. Your misuse of ADIN; or
    3. Your violation of any law, regulation, or the rights of any third party.
  • You agree that this indemnification obligation survives termination or suspension of your access to ADIN.

11. Arbitration & Governing Law

  • Choice of Law: These Terms are governed by and construed under the laws of the State of Delaware, without regard to conflict-of-law principles.
  • Arbitration Agreement: Any dispute or claim arising out of or relating to these Terms or your use of ADIN will be exclusively settled by binding arbitration administered by the American Arbitration Association (AAA). The arbitration shall take place in New York City, NY, and shall be conducted in English in accordance with the AAA's applicable rules.
  • Costs & Fees: Each party shall bear its own costs (including attorneys' fees) in any arbitration, unless the arbitrator finds that a statutory or contractual provision entitles the prevailing party to attorneys' fees or other costs.
  • Waiver of Class Actions: All claims must be brought in an individual capacity, and no party may participate in any class, collective, or consolidated proceeding.
  • Waiver of Jury Trial: To the extent permitted by law, you and Tribute Labs Services LLC waive all rights to a jury trial in any action or proceeding related to these Terms or the Service.
  • Limitation Period: Any claim or cause of action arising out of or related to these Terms or the use of ADIN must be filed within one (1) year after such claim or cause of action arose, or be forever barred.

12. Termination

We may terminate or suspend your access to ADIN at any time, with or without notice, if we believe you have violated these Terms or engaged in unlawful or improper use of ADIN. Upon termination, the license granted herein shall immediately cease.

13. Data & Privacy

  • Your use of ADIN is subject to our Privacy Policy, which explains how we collect, use, and protect your personal information. By using ADIN, you consent to the data practices described in the Privacy Policy.
  • We reserve the right to share anonymized, aggregated data derived from your use of ADIN for analytical or improvement purposes.
  • California Residents: If you are a California resident, you may have additional rights under the California Consumer Privacy Act (CCPA) regarding your personal information. Please refer to our Privacy Policy for more information.

14. Miscellaneous

  • Entire Agreement: These Terms (including the Privacy Policy) constitute the entire agreement between you and us regarding ADIN, superseding all prior oral or written understandings.
  • Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions remain in full force and effect.
  • No Waiver: Our failure to enforce any right or provision does not waive that right or provision.
  • Assignment: You may not assign or transfer these Terms without our prior written consent. We may assign or transfer our rights and obligations at any time without restriction.
  • Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, epidemic, war, terrorism, riots, civil unrest, government action, labor disputes, or Internet service disruptions.
  • Electronic Communications: By using ADIN, you consent to receiving electronic communications from us. These communications may include notices about your account, updates to our Terms or Privacy Policy, and promotional information.
  • Compliance with Export Laws: You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce.
